GoodsBar Terms of Use

1. Acceptance of Terms

Welcome to GoodsBar (the “App”), provided by Sensibly Smart LLC (“we,” “us,” or “our”). By downloading, installing, accessing, or using the App, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use (the “Terms”).

If you do not agree to these Terms, do not use the App.

2. Service Description and License

GoodsBar is a local-first, offline point-of-sale and inventory management tool for event vendors, creators, market stall owners, and doujin or indie merchandise sellers. The App may help you manage products, bundles, event inventory, promotions, orders, sales analytics, import/export workflows, backups, local network picking coordination, and PC-assisted editing.

Subject to your compliance with these Terms, we grant you a personal, non-exclusive, non-transferable, revocable, limited license to use the App on devices that you own or control for your personal or internal business purposes.

3. Your Data and Business Responsibility

You retain your rights to the content and business data you enter, import, create, or store in the App, including product information, images, prices, inventory, tags, orders, sales records, payment methods, backup files, and exported files.

GoodsBar does not collect payments from your customers, process buyer payments, hold funds, or participate in transactions between you and your customers. You are solely responsible for your product sales, price display, inventory accuracy, payment collection, refunds, taxes, delivery, fulfillment, customer communications, and compliance with applicable laws.

You are responsible for ensuring that any images, product names, descriptions, marks, tags, and other content you use in the App do not infringe third-party rights.

4. Local Storage, Backups, and Data Security

GoodsBar stores core business data primarily in a local database on your device. Unless a feature clearly states that it uses a third-party service, the App does not host your product, order, or inventory database on our cloud servers.

You are responsible for protecting your device, system account, backup files, and exported files. We recommend using the App’s backup tools regularly together with iCloud or other system-level backup solutions.

We are not responsible for data loss, corruption, or disclosure caused by device damage, loss, theft, system failure, App deletion, backup failure, import errors, third-party system issues, or your own actions, except where applicable law requires otherwise.

5. Subscriptions, In-App Purchases, and Apple Billing

GoodsBar may offer a free version, paid subscription plans such as Master monthly or yearly subscriptions, and legacy paid entitlements such as Plus where applicable. Different plans may unlock different product limits, advanced analytics, data operations, backups, custom payment methods, local network collaboration, PC editor access, or other premium features. The exact benefits are shown in the App and on the App Store purchase screen.

If you purchase a subscription or in-app purchase through the Apple App Store:

  • Payment will be charged to your Apple ID account when you confirm the purchase.
  • Auto-renewable subscriptions renew automatically unless auto-renewal is turned off at least 24 hours before the end of the current billing period.
  • Your Apple ID account may be charged for renewal within 24 hours before the end of the current period.
  • After purchase, you can manage or cancel your subscription in your Apple ID subscription settings on iOS.
  • If a free trial is offered, any unused portion of the trial may be forfeited when you purchase a subscription.
  • If you change devices or reinstall the App, you may use the in-app “Restore Purchases” function to recover active entitlements.
  • Refunds, billing disputes, and payment processing are generally handled by Apple under Apple’s policies.

6. Third-Party and System Services

The App may use Apple App Store, RevenueCat, Sentry, Firebase, Expo, or other third-party or system services for subscription validation, crash diagnostics, basic analytics, app updates, troubleshooting, or platform functionality.

These services may process limited device, diagnostic, purchase, or usage-related information under their own policies. For information about how personal information is handled, please review our Privacy Policy.

7. Acceptable Use and Restrictions

You agree not to:

  • reverse engineer, decompile, disassemble, crack, or attempt to derive the source code of the App;
  • bypass, tamper with, or defeat subscription limits, feature limits, or security mechanisms;
  • sell, rent, transfer, sublicense, republish, or commercially distribute the App or any portion of it;
  • use the App for any unlawful, fraudulent, infringing, misleading, or harmful purpose;
  • interfere with the normal operation of the App, local network collaboration features, device connections, or related services;
  • upload, import, or use images, marks, content, or data that you do not have the right to use;
  • use the App in a way that infringes our intellectual property rights or the rights of any third party.

8. Intellectual Property

The App, brand, names, logos, interface, code, documentation, designs, graphics, features, and related content are owned by Sensibly Smart LLC or its licensors and are protected by copyright, trademark, and other intellectual property laws.

Except for the limited license expressly granted in these Terms, your use of the App does not give you any ownership rights in the App or its intellectual property.

9. Disclaimer of Warranties

The App is provided “as is” and “as available.” To the fullest extent permitted by applicable law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, uninterrupted operation, error-free operation, data preservation, and non-infringement.

GoodsBar is an assistant tool. It does not replace your business judgment, accounting records, tax filings, legal compliance, or transaction management responsibilities.

10. Limitation of Liability

To the fullest extent permitted by applicable law, we will not be liable for any indirect, incidental, special, punitive, consequential damages, lost profits, lost revenue, business interruption, event sales loss, data loss, order errors, or inventory errors, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow certain exclusions or limitations of liability. In those cases, the limitations in these Terms apply to the maximum extent permitted by law.

11. Changes and Termination

We may update these Terms from time to time. Material changes may be communicated through our website, in-app notices, or other reasonable means. Your continued use of the App after updated Terms take effect means that you accept the updated Terms.

If you violate these Terms, we may suspend or terminate your right to use the App or related services. Upon termination, the license granted to you will immediately end, but provisions that by their nature should survive will remain in effect, including intellectual property, disclaimers, limitations of liability, and dispute provisions.

12. Governing Law and Disputes

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law rules. Any dispute arising out of or relating to these Terms or the App will be brought in the state or federal courts with jurisdiction in New York, unless applicable law requires otherwise.
